These Terms and Conditions (“Terms”) govern your use of the Lubbock Web Design Company website and services, operated by Coalescence Properties, LLC (“Company,” “we,” “us,” or “our”). By accessing this website or engaging our services, you agree to be bound by these Terms.
1. Services
Lubbock Web Design Company provides web design, social media management, digital marketing, e-commerce setup, and related digital services for small businesses. Specific services, deliverables, timelines, and pricing are outlined in individual proposals, invoices, or service agreements.
2. Payments & Fees
All pricing is provided upfront. One-time setup fees and recurring monthly fees are non-refundable unless otherwise stated in writing.
Late payments may result in paused services, suspension of accounts, or termination of ongoing work until payment is received.
Advertising budgets for paid campaigns (such as Facebook Ads or Google Ads) are separate from management fees and are paid directly by the client.
3. Month-to-Month Services & Cancellation
Recurring services are offered on a month-to-month basis unless otherwise specified. Clients may cancel services at any time with written notice before the next billing cycle. No refunds are issued for partial months.
4. Dispute Resolution; Mediation & Arbitration Only
Any dispute, claim, or controversy arising out of or relating to these Terms, our services, or any agreement between you and Coalescence Properties, LLC shall first be attempted to be resolved through good-faith mediation.
If mediation does not resolve the dispute, the matter shall be settled by binding arbitration, administered by a mutually agreed-upon arbitration service, in accordance with applicable arbitration rules. Arbitration shall take place in Lubbock County, Texas, unless otherwise agreed in writing.
You agree that you waive the right to bring any claim in court, including the right to a jury trial. Arbitration shall be the exclusive means of resolving disputes, except for claims eligible for small claims court where permitted by law.
Each party shall bear its own legal fees, and arbitration costs shall be shared unless otherwise determined by the arbitrator. This arbitration provision survives termination of services or any agreement between the parties.
5. Client Responsibilities
Clients agree to:
Provide accurate business information, content, and access credentials when required
Respond in a timely manner to requests for approvals or materials
Ensure they have rights to any logos, images, videos, or content they provide
Delays caused by missing information or approvals may affect project timelines.
6. Intellectual Property
Upon full payment, clients retain ownership of their website content and approved deliverables unless otherwise stated. Lubbock Web Design Company retains the right to showcase completed work in portfolios, case studies, and marketing materials unless requested otherwise in writing.
7. Third-Party Platforms
We are not responsible for outages, policy changes, suspensions, or performance issues related to third-party platforms, including but not limited to Squarespace, Shopify, Facebook, Instagram, Google, or hosting providers.
8. No Guarantees
While we apply best practices in design, marketing, and advertising, we do not guarantee specific results such as traffic increases, lead volume, revenue growth, or search engine rankings.
9. Limitation of Liability
To the fullest extent permitted by law, Coalescence Properties, LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or website.
Our total liability for any claim shall not exceed the amount paid by the client for services during the three (3) months preceding the claim.
10. Termination
We reserve the right to terminate services at our discretion due to non-payment, abusive behavior, illegal activity, or misuse of services.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
12. Changes to Terms
We may update these Terms at any time. Continued use of the website or services constitutes acceptance of the updated Terms.
